Terms and Conditions for Off-Plan Property Transactions

1. Introduction

These Terms and Conditions ("Agreement") govern the relationship between Duke and Edgar Real Estate Broker ("Broker," "We," "Our," or "Us") and the Client ("You," "Your," or "Buyer") regarding the marketing, advisory, and brokerage services for off-plan properties offered by third-party ("Developer") in Ras Al Khaimah.

By engaging with Duke and Edgar Real Estate Broker for off-plan property transactions, You agree to comply with these terms.

2. Scope of Services

Duke and Edgar Real Estate Broker acts as an intermediary between You and third-party Developers. Our services include:

Providing property listings for off-plan developments.

Offering advisory services regarding off-plan property investment.

Facilitating site visits and presentations from Developers.

Assisting in document submission and transaction coordination.

Liaising between You and the Developer regarding the sale process.

We do not act as a legal representative or financial advisor and are not responsible for any representations made by Developers.

3. Property Information and Availability

All property details, prices, payment plans, and timelines are provided as per Developer's information and are subject to change without notice.

Availability of off-plan units is not guaranteed until confirmed by the Developer.

We do not control the completion timelines or project approvals of off-plan developments.

4. Payments and Fees

All payments for property purchases are made directly to the Developer or as per the Developer’s designated payment structure.

Duke and Edgar Real Estate Broker does not collect property payments on behalf of the Developer.

Any commissions or brokerage fees due to Us will be communicated in writing before any transaction.

Additional fees such as Dubai Land Department (DLD) fees, registration fees, service charges, or VAT will be outlined by the Developer and must be paid accordingly.

5. Reservation and Booking

Reservation of an off-plan property requires a booking fee, payable directly to the Developer.

The Developer will issue an initial reservation agreement upon payment.

Failure to complete further payments as per the Developer’s schedule may result in cancellation and forfeiture of booking fees.

6. Cancellation and Refunds

Cancellation terms are determined by the Developer and vary per project.

We do not offer refunds, nor do we control refunds issued by Developers.

If a project is delayed or canceled, refunds or compensation, if applicable, will be processed by the Developer under their respective policies.

7. Legal Obligations & Due Diligence

Buyers are responsible for conducting due diligence before committing to a property purchase.

We recommend consulting with a real estate lawyer to review contracts before signing.

All agreements, including Sales and Purchase Agreements (SPA), are between You and the Developer.

We are not liable for any disputes related to Developer obligations, construction delays, or contractual breaches.

8. Project Delays and Completion Risks

Off-plan properties are subject to risks such as delays in handover, design changes, or project cancellations.

Duke and Edgar Real Estate Broker is not responsible for any developer delays or modifications to the project.

Compensation for delays is solely at the discretion of the Developer as per the agreed contract.

9. Assignment and Resale

Assignment (resale before completion) of off-plan properties is subject to the Developer’s resale policy.

Assignment fees or transfer charges may apply as determined by the Developer.

Duke and Edgar Real Estate Broker may assist in resale transactions, subject to additional brokerage fees.

10. Limitation of Liability

Duke and Edgar Real Estate Broker acts as a facilitator and is not liable for:

Changes in Developer policies, prices, or payment structures.

Project cancellations or delays.

Developer bankruptcy or financial instability.

Any legal or financial disputes arising from the purchase.

11. Confidentiality & Data Protection

We will handle Your personal information in compliance with UAE data protection laws.

Your data may be shared with Developers for the purpose of property transactions.

We will not sell or distribute Your information to unauthorized third parties.

12. Dispute Resolution

Any disputes arising from these Terms shall first be resolved amicably through negotiation.

If no resolution is reached, disputes will be handled through Ras Al Khaimah Courts as per UAE real estate laws.

13. Amendments to Terms

Duke and Edgar Real Estate Broker reserves the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms.
